Correct ethical behaviour, sincerity, reliability, and integrity are leading principles at Lassus, both internally towards clients, and externally.<\/p>\n\n\n\n
It is very important that we all protect Lassus\u2019s good name. This requires a culture that is strongly focused on openness, integrity, and ethical behaviour. Whichever role we fulfil within the company, we are all responsible for maintaining our ethical and statutory principles.<\/p>\n\n\n\n
We have drawn up this Code of Conduct (the Code) to explain these principles to anyone who work at, for, or on behalf of Lassus, regardless of the legal relationship (the Associates). The Code explicitly applies to them.<\/p>\n\n\n\n
In this context, Lassus is defined as Holding Lassus Tandartsen B.V. and all enterprises affiliated to this company, explicitly including (but not limited to) Lassus Facilitair B.V., Lassus Tandartsen B.V., Lassus Tandartsen Keizersgracht B.V., Tandartspraktijk De Liefde B.V., Tandartspraktijk Plantage Middenlaan B.V., Lassus Tandartsen Olympisch Stadion B.V., Dental Factory B.V., TTH Van Wou B.V., Lassus Orthodontie B.V., Lassus Tandartsen Lelystad B.V., Oisterwijk Tandheelkunde B.V. and all companies in which the various Lassus establishments are held.<\/p>\n\n\n\n
The Code is divided into sixteen topics that are relevant to Lassus\u2019s business activities. The Code offers clear principles related to integrity and ethics in business.<\/p>\n\n\n\n
The Code stipulates our decisions and actions, and applies to both business actions and Associates\u2019 behaviour as part of their work activities for Lassus. Furthermore, the Code is also of great significance in the decision whether to enter into or continue relationships with clients, suppliers, and other third parties.<\/p>\n\n\n\n
The Code comprises the minimal conduct requirements and is not exhaustive.<\/p>\n\n\n\n
2. Lassus culture<\/p>\n\n\n\n
Lassus is similar to a three-star restaurant that approaches each dining guest with the same level of service. Whether the guest dines extravagantly or modestly, chooses expensive or cheaper wines, does not make them more or less welcome. In both cases, they can count on a perfect meal and the very best service. This is the only way for the business to keep hold of its stars, and the guest will return.<\/p>\n\n\n\n
Service is another term for offering services. Offering services to make guests\/clients happy, either by offering goods or services they request in exchange for money, or by solving problems or processing complaints. If the complaints are handled well, and the issues are resolved within a short period of time, it constitutes good service. And because good service contributes to the satisfaction of the client who, in turn, ensures more revenue, the turnover of the company will increase, and investments can be made for the purpose of expansion or improvement.<\/p>\n\n\n\n
To achieve a high level of client satisfaction and client loyalty, Lassus applies the following basic principles for its culture:<\/p>\n\n\n\n
3. Legislation<\/p>\n\n\n\n
Lassus strives for compliance with all relevant legislation and regulations, and also expects this from its Associates. This comprises all legislation and regulations, regardless of the country in which the work or activities are taking place, or where a company affiliated to Lassus is located. 4. Competition<\/p>\n\n\n\n
Lassus does not shy away from competition, as long as competition occurs fairly. Lassus supports the development of appropriate competition laws. Lassus\u2019s companies and Associates must carry out their work in accordance with all principles of fair competition and all relevant legislation and regulations.<\/p>\n\n\n\n
5. Confidential information and protection of personal information<\/p>\n\n\n\n
Associates must treat all company information as confidential, and must not divulge company or client information to third parties without express permission from their direct supervisor as well as the client. There is also an explicit reference here to the obligatory duty of confidentiality for other documents, such as the employment contract, for example. Associates are obliged to respect and protect company information, including information on computers and other devices, and must not publicly divulge company information after termination of their employment.<\/p>\n\n\n\n
Lassus and its Associates protect the privacy and security of personal information relating to clients, Associates, suppliers, and any other party they do business with. Personal information must only be used for legitimate business purposes and in accordance with legislation. Associates who suspect there is a breach in Lassus\u2019s data protection must report this immediately.<\/p>\n\n\n\n
6 Conflict of interest<\/p>\n\n\n\n
All Associates are deemed to carry out their work in the interest of Lassus. They must avoid any form of conflict of interest, including behaviour that -strictly speaking – does not constitute a conflict of interest yet could appear to be, between the interests of Lassus and personal interests.<\/p>\n\n\n\n
In particular, it is not permitted to carry out business transactions between Lassus and clients and\/or suppliers wherein the Associate or one of their family members has a financial or administrative interest, unless expressly agreed and approved by management. Each possible instance of conflict of interest must be reported to the relevant Associate\u2019s direct supervisor. In case of doubt, the Associate must consult with their direct supervisor<\/p>\n\n\n\n
7 Receiving and offering gifts and entertainment<\/p>\n\n\n\n
As a general rule, Associates are not permitted to accept from or offer clients, suppliers, and other with whom Lassus conducts a business relationship gifts or entertainment of a value higher than what could be considered common courtesy (\u20ac50 maximum).<\/p>\n\n\n\n
It is never permitted to accept or offer cash, unless the Associate has obtained express permission from management.<\/p>\n\n\n\n
8 Business assets and resources<\/p>\n\n\n\n
Each Associate is responsible for the correct use, protection, and retention of Lassus assets and resources, and confidential information that is provided to us by our clients and business partners. This includes the property, assets, proprietary interests, financial information, trade secrets, information, and other rights held by Lassus.<\/p>\n\n\n\n
Lassus assets and resources and opportunities must be utilised for striving to achieve Lassus objectives, not for personal gain. Associates who suspect they are dealing with a conflict of interest must discuss the matter with their direct supervisor.<\/p>\n\n\n\n
9 Registration integrity<\/p>\n\n\n\n
The Lassus company documents form the basis of our reliable and correct reporting to management, supervisors, the Healthcare Inspectorate, shareholders, creditors, government bodies, and other parties. All official Lassus registrations must therefore be accurate, honest, and complete. Lassus does not permit obscured payments through third party accounts, such as intermediaries or consultants. All Lassus business activities must comply with all local and national legislation and regulations with regard to the correct and complete execution of the financial accounts.<\/p>\n\n\n\n
10 Bribery and corruption<\/p>\n\n\n\n
Lassus relies on its own strengths and competes in an honest manner, on the bass of its services and service provision. Lassus believes that this is its distinctive feature in the market.<\/p>\n\n\n\n
Lassus considers any form of bribery unacceptable. Personal payments to or bribery of persons in the employment of Lassus clients or suppliers, government officials or legislators, or offering Lassus Associates bribery or personal interests in strictly forbidden.<\/p>\n\n\n\n
11 Donation to political parties and insider trading<\/p>\n\n\n\n
As a general rule, it is not permitted to use money or resources to support political candidates or parties anywhere in the world. Lassus does not support political parties and does not donate money to groups that work to promote party interests. Lassus forbids the use of Lassus facilities or resources by Associates for the purpose of political campaigns, political fundraising, or party-political purposes.<\/p>\n\n\n\n
Although Lassus is not a listed company, Lassus or its subsidiary companies can participate or consider participating in business transactions with listed companies. Associates who have knowledge of (potential) business transactions with a listen company must not engage in the trade of shares, options, or other securities of the related company while these transactions are not common knowledge yet.<\/p>\n\n\n\n
12 Employee relations<\/p>\n\n\n\n
Lassus is committed to equal opportunities and a respectful work environment. Associates are not permitted to discriminate on the basis of race, religion, gender, background, or any other status prohibited by law. Sexual intimidation will not be tolerated.<\/p>\n\n\n\n
13 Alcohol and drugs<\/p>\n\n\n\n
The use of alcohol and\/or drugs on any Lassus site, office or workplace is not permitted. Associates will not be given access and\/or will be removed from their office or the workplace if they are under the influence of alcohol and\/or drugs.<\/p>\n\n\n\n
14 Communication with third parties<\/p>\n\n\n\n
Only authorised Associates are permitted to speak on behalf of Lassus with the inspectorate, creditors, media, suppliers, and other third parties. Associates who are authorised to speak or act on behalf of Lassus, must comply with the limitations of this authority, and must not attempt to exceed or circumvent these limitations.<\/p>\n\n\n\n
15 Infringements<\/p>\n\n\n\n
Infringements of the Code may lead to disciplinary measures against the related Associate. Lassus reserves the right to tackle such infringements in a manner they deem appropriate under the circumstances. The possibility of instant dismissal and immediate termination of an assignment agreement or cooperation agreement is not excluded.<\/p>\n\n\n\n
16 Reporting inappropriate, unethical, or unlawful<\/p>\n\n\n\n
Lassus strives for a culture based on trust and individual responsibility. However, Associates may come across unethical or unlawful behaviour during the execution of their work. Lassus wants to offer an environment in which Associates can raise any worries about injustices. We want to offer a safe and honest method for reporting such behaviours in good faith. Every Associate is tasked with reporting such infringements. Reporting may be done anonymously to the HR department or management.<\/p>\n\n\n\n
17 Other guidelines<\/p>\n\n\n\n
This document contains the main aspects of ethical behaviour expected from Lassus Associates. The Code cannot anticipate every possible legal or ethical matter that might arise, and is therefore possibly not specific enough about certain topics. Associates who have questions about the Code or need guidelines in certain situations, must contact their direct supervisor, who will subsequently deal with the manner in utmost seriousness.
